MEMORANDUM OF AGREEMENT

and the

UNITED TRANSPORTATION UNION

POOL FREIGHT BLUE PRINT CONDITIONS
SECOND PRIOR RIGHTS SENIORITY DISTRICT

Rule 41 of the basic Schedule of Agreement is amended to the extent as provided herein:

1. Pool freight crews with the home terminal of North Platte operating to Marysville, Fremont and/or Missouri Valley will be called for the returned trip at the away-from home terminal in the same order they were originally called at North Platte.

2. Upon arrival at North Platte, crews will be returned to the same relative position in
the pool they held prior to being called for the last trip at North Platte.

3. Crews called and released at North Platte and/or the away from home terminal will
be returned, at the first opportunity, to the same relative position in the pool they
held prior to being called.

4. Except as provided herein, all of the provisions of Rule 41 remain in effect.

5. This Memorandum of Agreement will become effective on June 1, 1998 and
will remain in effect unless canceled by either party in the future with the serving of
a ten (10) day advance notice.
